What's the goodwill we're paying off over ten years?

NS wound up PVFC Ltd, paying off £1.8 million of debt it had ran up between Nov 2012 and Spring 2014.

 

He then set up the new company which he immediately put into the same amount of debt (£1.8 million of loans to him) and created £1.8 million of goodwill as an asset. The two netted off against each other on the balance sheet at day one.

 

The goodwill basically isn’t even a thing so there’s £180k that the company loses every year through depreciation which is just pretend.

Just throwing this out there....in my mind if I was him I would want something other than equity in a failing business for the 3m loans. Let’s be honest 3m of equity in a business that loses money isnt worth jack. If I was him id sell the ground back to the club for a matter of pence, dissolve the company and then once the ground is once again part of the club take my equity which is now worth more as the company I now have equity in has a large property as part of it

Thanks for sharing that John, quite interesting, particularly the bit about converting his loans into equity .

 

At year end - 30.06.17 - he'd reduced his loan balance by around £200k compared to where it was at 30.06.16. He could have done this in a number of ways. If he was converting it to equity I'd assume there would have to be something mentioned on the recent confirmation statement submitted to Companies House, however there isn't any evidence of this as far as I can see.

 

Of course the club equally could have paid him £200,000. That would obviously be his prerogative but also a bit disappointing during a relegation season when you look at what the margin was between staying up and going down.

 

Interesting.

 

I'm not sure if the repayment would be counted in Director Remuneration though. Maybe not if it was purely a loan repayment rather than any payment that would require tax such as a salary.

Does it include everyone who has worked at any point during the year or is it the usual average monthly employees?

 

 

strange we have twice as many employees as wigan who had logged 160 last may, just a thought could it be vale the club are paying for other employees in our owners other business.

It's very odd. Stoke must surely employ more stewards, catering staff, coaches, admin staff etc. than Vale yet their figure is 292.

It's a first gazette notice issued in 2014 but it was discontinued a few days later so the company is still active - just as well because I believe it owns Vale Park!
