If deakin resigned at the end of november [as suggested in the sentinel] why would he pay for his shares after that?

If he hasnt he cant claim to be a director and has no vote, which makes the board inquorate and renders decisions possibly invalid which in turn raises questions over agreements and contracts after that date.

If miller did arrange and sign the loan deal who gave him sole authority or was it an invalid board decision?

Oh so many questions and contradictory answers.

he resigned as ceo, not as director.....i think thats the situation.....

 

As I understand it, he leaves both posts.

 

We are still waiting for the club to "decide" on his 20000 shares.

 

What's the betting they either find some other fool to invest £100K (exactly) or the shares are withdrawn?

Apparently.... but if he paid for his shares why would they need another 300K?... and knowing his shares have no value why would he stay as a director if he intended to resign as ceo?

There's a bloke(now inside) who was known in the south of Stoke for taking a liking for a Company and just walking in one day, sitting at the bosses desk and kicking everyone out. He then took over because the owners sh4t themselves. this is whats needed, fan power, out with the lot, including Lodey. All of the Board, including the co sec must have known what was going on. Complete bunch of tarts.

Don't all directors need £50k minimum invested to be a director though?

 

50K shareholding. Doesn't say anything about cash as far as I am aware.

 

If Bratt, Oliver, Lloyd, Adams and Lodey, as the board and secretary of the time, approved this then not sure what we can do. Suppose it depends what the offical promissory note says and if it is legally binding.

 

Can the club sue Deakin for 100 grand?
