The Port Vale (Valiant 2001) Football Club Limited articles of association make interesting reading:

 

"...no person shall be appointed a director unless such person shall have submitted in writing to the directors for the time being of the Company such information concerning the experience, competence, qualifications, character and personal and financial circumstances of such person as the said directors may require"

 

In the interests of fairness and balance it would be a good idea if the club made public the letter that Micky will have no doubt written to the club, so that the shareholders can make an informed decision on whether to vote for the written resolution.

The above refers to... to the directors. The unsigned form was to the football league to do due dilligence. But on

the other hand, Mark was not a legit. candidate after Broxap did their foxtrot. Only saved by Robbie's proxey on

the day of the EGM. So I think they have a legit excuse, if not a very ethical one.

Article 20....but Micky "Blade Runner" Adams can't submit in writing such information being "not that clever"....at the end of the day the man doesn't know if it is his idea or someone else....but despite not doing "due dilligence" and not understanding the responsibilities and liabilities or the consequences

Adams seems to think that the club are going to sign five new players when the budget can't afford last sesons squad that are all but signed up........can

someone explain to the "not that clever" manager the terms "vote of no confidence" and the term "record investment".....terms that are lost on the current regime along with the terms "fan base" and "potential".

And I think Micky ought to look at the implications if we go into admin.with a bid on the table.

 

Should MA buy shares then become a director then he gets up one day and walks away.Then tries for another managers job he will not be able to take that job.There will be a conflict of interests.Of course he could sell his shares,yes.But it would have to be sanctioned by the board.If the board refused to sanction this(in spite)then MA is stuck and unemployable with another team as manager.

The quote ends with "as the said Directors may require". They will simply say they know MA and don't reqire anything else surely.

 

This is a good point. The same could be said of one Mark Simms too. They've had 1/4 mill off him in sponsorship. They know him and we know him. Why insist on full beaurocracy for one but not the other..........mmm..let me ponder.:rolleyes:===

The board wouldn't do that to Micky. They're selfless. What would be in it for them?
