What mart750 said is right I think. The directors now cannot put the club into admin, if that is what they were intending to do, so they have lost control of any administration - it would be forced by one of the creditors if it happens rather than be a voluntary action by them.

 

Also, because the Board is inquorate, I don't think it is now able to issue shares so no random investors can pop up before and AGM/EGM happens - if it ever does.

 

I suppose the AGM papers haven't been sent out because I would imagine that they only had two new directors nominated on them and we now need three?

 

This is, to put it mildly, a real buggers muddle.

If we go into administration, could payment of the nil-paid shares be sought? Perhaps that's why he has resigned.

I think his shares could be used either way.He could use them him self sand vote for or against the board.He could give his proxy to the SC.Or he could sell perhaps sell them to the board(which to him would be like a pay off if he still hasn't paid for his shares)

Don't for one second imagine that MS would want to, certainly don't imagine he will be asked/allowed. Like other posters I believe that Millers "resignation" is for reasons that we do not yet know, but will not be good for PVFC.
