Why? Just offer them 50k flat + 15gbp per share to buy their shareholding from them. Plus maybe a nice 10 years directors box tickets. It could have all been wrapped up nice and friendly ages ago.

 

Instead, Mo makes an offer that is now zero pounds for them to leave office. Why on earth would they vote for that?

 

Dont let your own hatred of the individuals on the board get in the way of what is in the best interest of the club.

So why else do you think these guys, especially jackson, wont let go? Its not bribing anyone to offer to buy something from them at a price that is agreeable to both parties. If you have a car I want, I make an offer that is worth at least as much, if not more, that the value of the car to you.

 

The board have control of a football club that Mo wants control of, so Mo could have made an offer for that control exceeding his current offer of zero.

 

The problem here is that people underestimate the power of a board of directors and overestimate the rights of a shareholder.

Here is one problem. We are not a supporters run club. We are a club run by this board. And I think the fact that this lot were "smart enough" to pull the wool over peoples eyes back in day one means that the duped shareholders now wont accept anything but kicking these guys out with zero recompense. This is fine, but my point is that there ARE easier and quicker ways.

If this is a serious concern of the shareholders then an independent audit can be forced on the company with a vote of just 10% of the shareholding (see latest companies act).

 

Instead, I would suggest they wont let go because they are onto a good thing. And they have not received an offer that bests that "good thing".

It is if the share price is set in the articles... you are then paying the set price and giving someone a bung....

 

The articles sets the "par" price for newly issued shares at 5 quid. You can buy and sell on the open market at whatever price you like. Although, of course, any share transfers (ie private sales) are subject to board approval (as per the articles).

In a way there are only two possible outcomes.....

Firstly if the Board manage to somehow survive the EGM and block vote themselves back in power of a club with no fans administration is a certainty

and all shares will be worth zero....however as there was an offer on the table the Board will be liable for up to nearly a million pound owed to shareholders for their negligence....a very risky stratergy that will cost them a fortune and send Vale into non-league.

If the Board are voted off by 51% at the EGM then as they failed to meet the deadline set by Mo Chaudry they can't get any money back and just like they treated the shareholders the V2001 Boards shares will be donations.

Either way Mo will win control and the Board will not get a penny.

I disagree, this is a fantasy, and I would love to see an example of a similar case where this has happened before. To start with, if the vale go into admin, who amongst the disgruntled shareholders will stump up for the case?

Sure, they get nothing if they fail at the EGM. But right now they get nothing anyway from Mo's bid, so of course they will chance their arm.

Of course there is. If I offer you two grand for your five hundred quids worth, what do you say?

 

Read the articles, it expressly allows for this, subject to board approval. Mo's first offer even includes the fact that he will offer to purchase existing shares at 5 quid a go.

I think Glenn is the only one I have any respect for these days, I think he loves the Vale and wants out of his position. Glenn's always answered questions and approached me and been open to debate, even when met with abuse, and for that I have respect for him. The rest can **** off and never come back, though.
