How do you spell jail? is it gaol or jail? I never quite understood how both could be in the dictionary at the same time? I wonder if anyone could enlighten me. I am truly curious as to where the J5 will end up.

My understanding is that under Company law an interim board can be in breach of the Memos and Arts as long as it means the business can continue to function in the interim. A court will only be interested that the business can continue for the benefit of the business and shareholders until a new board can be established that meets the Memo and Articles requirements not how many directors there are or how many shares they hold in the interim.

 

Any posturing or manipulating by the board shows that they do not have the clubs best interests at heart and shows up Bratts comments from last week that he will step down if voted off on Wednesday

 

The last thing, true. But, for the previous, such an interim board can do what? How long will it be in place? Can it do player's contract's can it issue shares? I'm getting fed up with sounding like a stuck record but nobody answers my questions .Crucially 1) Can an interim board be appointed? 2) If so what can an interim board do in the interim? And I am a share holder and I don't give a **** about horse racing because the queen does that. Someone just answer these ****** simple questions. Please.

I am certain a present Director can clue them up on the comings and goings in Jail (Gaol)...;)

Please take your lead from NLV as it is all in hand. There is much going on behind the scenes with the legal argument which cannot be shared on the forum. However it is important all shareholders who want change follow the lead of NLV and do not go off on a tangent.

As I understand it they are responsible for running the business so it continues as before. The interim board are to be in place until due diligence is completed for Mo's purposes (3 weeks tops) and then another egm will be called, which under company law I think you can do with 14 days notice.

 

It won't be the interim boards fault that players contracts need sorting now, it is the boards unwillingness to have stepped aside sooner that will cause problems now. Who arranges players comntracts now, the board or the CEO? Surely Perry can sort that side along with Lodey who will be involved in that side now?

Gaol is the English version,whereas jail is the American corruption.

Apologies if this has already been discussed.

 

I believe the order of voting tomorrow is 'special resolutions' first followed by 'ordinary resolutions', ie first polls will be to remove the 24.9% maximum share ownership and also to lower the minimum number of directors from 4 to 3. This will then be followed by resolutions to remove each of the directors and vote in an interim board.

 

Doesn't this make it even more unlikely the present board members will vote for the 'special resolutions' as they will still be in the dark as to whether they themselves are going to be removed or not. I know it appears unlikely any of them will support the removal of 24.9% or lowering the number of directors but on the slight chance they would accept defeat graciously and support a smooth transition to an interim board, won't it be too late as the special resolutions will already have been voted on?

 

Is the polling order set in stone or can it be changed at this late stage?

Nope! Set I'm afraid, and its standard practice to have special resiolutions at the top of the agenda
