I doubt any NDA can counter law breaking activities. You can't "legally" contract someone to not report a crime. That is likely to make you an accessory.

 

The whistleblower has to be 100% certain of the crime though, otherwise it will be their reputation/career etc that will be on the skids.

 

It would be interesting to see what would happen if someone did ignore the NDA, report a crime and then get sued by the convicted criminal!

 

Is it an actionable offence to not report a crime?... if the victim reported the crime it would probably be criminal to then try to cover it up by anyone... except perhaps the victim with exceptions.

I've always said that, if you wanted to very steadily and very gradually run PVFC into the ground, if you were on a mid to long term mission to turn Stoke-on-Trent into a one football club city, whilst employing the odd 'shield' (Garlick, Aspin, Rudge) along the way to deflect attention, then you couldn't be doing a better job of it than Vale's current owner. This naturally begs the question: why?

The only hypotheses I can come up with are far-fetched and would be downright libellous if I put them on here.

 

Nothing adds up:

 

The man who bought a football club by accident. The reluctant football club owner. That was six years ago. He's still here.

 

Last March he claimed the club was losing £140-160k per month. He's still here.

 

He has accrued > £2 million pounds worth of Directors Loans. He's still here.

 

A year ago he claimed the club was losing £140-160k per month at a fans' forum. He's still here.

 

Then several parties approach him to take the club off his hands. His response is to put a prohibitive price tag on the club. Why?

 

He isn't slow to tell everyone how much money the company is losing and how much he has to bail it out with Directors Loans. He’s not interested in running up debt with a third party but I sense that he’s very interested in running up credit to himself.

 

I don't believe he's a philanthropist. If he is, he certainly isn't very good at it.

 

Smurthwaite continues to own Port Vale because the business is useful to him. In some way.

Almost as if it is advantageous for him to run a loss making business (or one that makes itself seem loss making by not including all revenue streams in the 'back of a fag packet' accounts).

 

How very odd.
