One simple reply ...

Board 28%

Ameriturf sleeping partner 24.9%

Board own club.

No they wont.

As I've pointed out before, a 24.9% investment would have the effect of reducing the boards share to 21% making a total of 46%.

Still significantly high, granted, but not a majority shareholding.

Yes but assuming RW abstains, (this proxy is a 1 off), they would have 53%+

I'm worried after reading tonights threads. Don't like the high number of proxies gone to the club and especially don't like the club wanting 2 votes - they are surely going to try and stop the second vote to remove them on a technicality. Thought the NLV had set the agenda - can't they stop this?

What difference does it make if there are 1 or 2 votes, wouldn't the outcome be the same?

NLV have set the agenda and the board were happy with it. The voting process should be at NLVs discretion, therefore, not the board and it isn't op to Lodey to dictate.

Even a board as disgraceful as ours wouldnt dare to call off any of the votes, there would be absolute anarchy at VP on Wednesday if that happended.

Just worried that somehow they are going to try and stop the second vote to remove them. Probably panicing unecessarily, the NLV seem to have it under control. Guess being a Vale fan for 45 years makes you expect the worse!!

Very true, I'm still expecting something to go drastically wrong.

There was a little whisper that if the board survive and the AmeriTurf deal goes ahead, Stan Meigh will buy more shares and this may bring them jointly over 50%.

Which is probably what they want because they can discredit the whole meeting.

I would not put anything past them. They will drag this club through the courts if it means them clinging on to power.

That wouldn't surprise me, but it would cost him about £80K.

But surely he couldn't do that - if Stan Meigh bought share for the sole purpose of taking the holding or the Board plus any new investor over 24.9% it would breach the rule about "connected" parties owning more than 24.9% which was used to prevent the investment of Mark Sims and Mo Chaudry.
